The catch is what“ technology experience” actually buys. A retired telecoms chief and a hands-on AIgovernance specialist both tick the tech box, and they are not remotely the same hire. In 2026, The Conference Board found that 83 % of S & P 500 boards had formally named AI a material risk to the business, while just 2.7 % of the directors on those boards hold any disclosed expertise in it. It is the corporate equivalent of wiring the whole building with smoke alarms and hiring nobody who can smell smoke.“ AI is closer to a reckoning than a trend,” write the McKinsey authors behind the firm ' s study of 75 boards,“ and that is why AI is a board-level priority.” On their own evidence, the reckoning has not reached most boardrooms. This is not a soft, nice-to-have failing either. A 2025 study by MIT ' s Center for Information Systems Research found companies with AI-savvy boards outperform their peers by 10.9 percentage points on return on equity, while the rest sit adrift of their own industry. Only 26 % of large-company boards clear the bar. Most, put simply, are governing this year ' s disruption with last year ' s education, and it shows up quietly on the share price, quarter after quarter.

Judging a skill you do not have None of this is a case for beating up directors, because the job genuinely got harder. A board hiring a leader today is trying to assess a discipline that barely existed at the last proxy season, and the tells are subtle. Charley ' s advice is to stop marking candidates on tidy answers and start listening for a story. Ask a would-be CIO“ to tell the story of AI in your industry,” he writes,“ and specifically how they would begin turning that story into reality at your company”. What separates the real thing from the fluent fake is a clear framework for measuring value, not another deck of pilots that never ship. But a director who cannot tell a genuine AI strategy from an expensive slideshow is in no position to hear that difference, let alone reward it. Reassessing the C-suite and reassessing the boardroom are not rival projects. They are the same one.
